Terms and Conditions

These Terms and Conditions govern access to and use of ProxVanta. By using the service, you agree to these terms.

1. Use of the Service

ProxVanta provides software and related services for discovering, customizing, publishing, and operating Agent Briefs across code, backlog, design, and workflow contexts. You may use the service only in compliance with these terms and applicable law.

2. Accounts and Organizations

Users are responsible for maintaining the security of their accounts and for activities that occur under those accounts. Organizations are responsible for managing permissions, invites, API keys, connected providers, and internal use of the service.

3. Customer Content

You retain responsibility for the content you create, upload, store, connect, or process through ProxVanta, including Agent Brief definitions, prompts, instructions, files, repository context, and related data.

You represent that you have the rights needed to use that content with ProxVanta and with any connected third-party services.

4. Acceptable Use

You may not use ProxVanta to:

  • Violate law or third-party rights.
  • Access, interfere with, or test systems in unauthorized ways.
  • Upload or transmit harmful code, malicious prompts, or abusive automation intended to damage systems or data.
  • Circumvent billing, security controls, rate limits, permissions, or product restrictions.
  • Use the service to store or process content you are not authorized to handle.

5. Third-Party Services

ProxVanta may integrate with third-party platforms such as GitHub, Linear, Figma, Stripe, model providers, and other external services. Your use of those services is governed by their own terms and privacy policies. ProxVanta is not responsible for third-party services or outages outside our control.

6. Billing and Trials

Paid features may require an active subscription. Pricing, plan limits, trials, and billing behavior may vary by plan and workspace configuration. Unless otherwise stated, fees are non-refundable except where required by law.

If a trial is offered, it applies only as described in the product and may be limited to a single use per organization.

To protect overall service reliability, ProxVanta may apply generous fair-use safeguards, including hidden request thresholds, temporary throttles, or outreach regarding unusual automated usage patterns that materially affect shared infrastructure.

7. Intellectual Property

ProxVanta and its related software, branding, product design, and service materials are owned by ProxVanta or its licensors. These terms do not transfer ownership of ProxVanta intellectual property to you.

8. Availability and Changes

We may change, improve, suspend, or discontinue parts of the service from time to time. We do not guarantee uninterrupted availability or that every feature will remain available in its current form.

9. Disclaimers

ProxVanta is provided on an “as is” and “as available” basis to the maximum extent permitted by law. We do not guarantee that outputs, recommendations, or Agent Brief behavior will be correct, complete, or fit for every purpose. Customers remain responsible for review, approval, and downstream use of outputs.

10. Limitation of Liability

To the maximum extent permitted by law, ProxVanta will not be liable for indirect, incidental, special, consequential, exemplary, or lost profits damages, or for loss of data, business interruption, or loss of goodwill arising from use of the service.

11. Termination

We may suspend or terminate access to the service if these terms are breached, if necessary to protect the service or other users, or as required by law. You may stop using the service at any time.

12. Changes to These Terms

We may update these Terms and Conditions from time to time. If we make material changes, we may update the effective date above and provide additional notice where appropriate.
